1. Introduction

Welcome to www.poolandspa.ph (the “Site”), operated by ASD Pools and Ponds PH Corp (“we”, “us”, or “our”), a corporation registered in the Philippines.

By accessing or using our Site, browsing our products, creating an account, or placing an order, you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully before using our Site. If you do not agree to these Terms, please do not use the Site.

These Terms apply to all visitors, customers, and users of the Site.

3. Eligibility

By using our Site, you represent and warrant that:

You are at least 18 years of age, or are accessing the Site under the supervision of a parent or legal guardian
You have the legal capacity to enter into a binding agreement
You are not prohibited by any applicable law from purchasing goods or using our services
All information you provide to us is accurate, current, and complete

4. Products and Services

4.1 Product Descriptions

We make every effort to display our products and their descriptions as accurately as possible. However, we do not warrant that product descriptions, images, pricing, or other content on the Site is accurate, complete, or error-free. Product colours and appearances may vary depending on your device display settings.

4.2 Availability

All products are subject to availability. We reserve the right to discontinue any product at any time without notice. In the event that an ordered item is out of stock or unavailable, we will notify you as soon as possible and offer you a suitable alternative, a backorder arrangement, or a full refund.

4.3 Pricing

All prices displayed on the Site are in Philippine Pesos (PHP) and are inclusive of applicable taxes unless otherwise stated. We reserve the right to change prices at any time without prior notice. The price applicable to your order is the price displayed at the time you complete your purchase.

In the event of a pricing error, we reserve the right to cancel your order and issue a full refund, notifying you promptly of the error.

5. Orders and Contract Formation

5.1 Placing an Order

When you place an order through our Site, you are making an offer to purchase the selected products subject to these Terms. All orders are subject to acceptance by us.

5.2 Order Confirmation

Upon placing an order, you will receive an automated order confirmation email. This email is an acknowledgement that we have received your order and does not constitute acceptance of your order or a binding contract.

5.3 Order Acceptance

A binding contract is formed when we dispatch your order and send you a shipping confirmation, or when we otherwise communicate our acceptance of your order. We reserve the right to refuse or cancel any order at our discretion, including in cases of suspected fraud, pricing errors, or product unavailability.

5.4 Order Cancellation by Customer

You may request cancellation of an order before it has been dispatched by contacting us as soon as possible at david@poolandspa.ph or 0927 670 3551. Once an order has been dispatched, our Returns and Refunds policy will apply.

6. Payment

6.1 Payment Methods

poolandspa.ph currently offers two payment methods:

Option 1 – Bank Transfer

Select “Bank Transfer” during checkout. Upon completing the checkout process, you will be provided with our bank account details to make your transfer. Payment may be made via PESO transfer into our local PHP account or via a USD account where applicable. Your order will be processed once the funds have cleared our account, and you will receive an SMS message confirming your order has been dispatched. For extra large items, our team will contact you to discuss delivery arrangements.

Option 2 – Credit and Debit Card via PayTabs

We accept Mastercard and Visa payments processed securely through PayTabs, our authorised online payment gateway. By submitting your card details, you authorise us to charge the applicable amount for your order. We do not store your full card details on our systems. All card transactions are encrypted and handled in accordance with PayTabs’ security standards and PCI-DSS requirements. Your order will be processed once the funds have cleared our account, and you will receive an SMS message confirming your order has been dispatched. For extra large items, our team will contact you to discuss delivery arrangements.

6.2 Order Changes

If you have ordered an incorrect product, please contact us immediately so we can process your order change before dispatch:

We cannot guarantee that order changes can be accommodated once an order has been dispatched.

6.3 Payment Security

Our Site uses SSL/TLS encryption for all data transmitted during the checkout process. However, we are not responsible for any loss or damage arising from unauthorised access to your payment information where such access results from circumstances beyond our reasonable control.

6.4 Failed Payments

If your payment is declined or fails, your order will not be processed. Please check your payment details and try again, or contact your bank or card issuer. We are not liable for any fees or charges your bank may impose in connection with payment attempts.

6.5 Currency

Transactions on our Site may be conducted in Philippine Pesos (PHP) or US Dollars (USD) depending on the payment method and account selected at checkout. If your card is denominated in a different currency, your bank or card issuer may apply a currency conversion rate and associated fees. We are not responsible for any such charges.

7. Shipping and Delivery

7.1 Delivery Areas

We currently ship to addresses within the Philippines. Delivery to certain remote areas may not be available or may incur additional charges. Please contact us before placing an order if you are unsure whether we deliver to your location.

7.2 Shipping Costs

Shipping fees, if applicable, will be calculated and displayed during checkout before you complete your order. Shipping costs may vary depending on the size, weight, and destination of your order.

7.3 Delivery Timeframes

Estimated delivery timeframes are provided as a guide only and are not guaranteed. Delivery times may be affected by factors outside our control, including carrier delays, public holidays, adverse weather, and high order volumes. We will make reasonable efforts to notify you of any significant delays.

7.4 Risk and Title

Risk in the products passes to you upon delivery. Title to the products passes to you upon full receipt of payment.

7.5 Delivery Issues

If your order has not arrived within the estimated delivery window, please contact us at david@poolandspa.ph with your order number. We will investigate the matter with our delivery partner and provide an update as soon as possible.

8. Returns, Refunds, and Exchanges

8.1 Return Eligibility

You may return new, unopened items purchased directly from poolandspa.ph within 14 days of delivery for a full refund. Items must be returned in their original product packaging, with all parts and manuals complete. We do not charge restocking fees for items returned complete with their original packaging.

8.2 Return Shipping Costs

We will reimburse return shipping costs if the return is due to our error (for example, if you received an incorrect or defective item). For all other returns, return shipping costs are the responsibility of the customer.

8.3 Non-Returnable Items

Unless otherwise required by law, the following items are not eligible for return:

Opened consumable goods, including chlorine, copper sulfate, pool test kits, and similar chemical products
Pumps, electric motors, and water heaters that have clearly been used
Items damaged due to misuse, overuse, or incorrect installation

8.4 Incorrect Orders

If you have ordered an incorrect product, please contact us immediately on 0927 670 3551 or at customersupport@poolandspa.ph so we can process your order change before dispatch. Please refer to Section 6.2 for details.

8.5 Refund Processing

You can expect to receive your refund within two weeks of returning your items. We process refunds as soon as possible following receipt and inspection of the returned goods. Refunds will be issued to the original payment method.

9. Warranties

9.1 General Warranty Coverage

Unless otherwise stated or agreed upon, all items purchased from us are warranted from the date of purchase against manufacturing defects arising from design, materials, or workmanship, under the terms of the manufacturer’s warranty. You may claim warranty by presenting the original sale invoice.

9.2 Warranty Remedy

The decision for replacement of defective items shall be at the discretion of the manufacturer. poolandspa.ph and poolsandponds.ph will, at its option, repair or replace defective items returned during the warranty period at no charge. Replacement parts or units are warranted for the remainder of the original warranty period.

9.3 Labour and Service

During the warranty period, poolandspa.ph and poolsandponds.ph will provide the labour for warranty repair without any service charge at any of our branches or service centres.

For on-site repairs and maintenance where the service is performed at the customer’s site, no charge will apply unless the product is deemed to be out of warranty. In that case, poolandspa.ph and poolsandponds.ph will charge the customer for the transportation of our service personnel and any repairs required.

9.4 Shipping and Freight

Warranty does not cover shipping expenses. Provincial clients will need to send defective items to us at their own expense. After repair or replacement, we will inform the client that the items are ready for collection. At the client’s request, we will arrange to ship items back; however, poolandspa.ph and poolsandponds.ph will not bear any freight charges for return shipment.

9.5 Consumables

Consumables are not covered by any warranty. Consumables include but are not limited to pool chlorine, dry acid, copper sulfate, silica sand, and sauna stones.

9.6 Warranty Limitations

The warranty does not cover damages due to:

Accidents, misuse, misapplication, or any other abnormal cause
Wrong installation or use of incorrect voltage
Running a pump motor without water, or dry-firing of heating elements
Tampering or unauthorised modifications
Damages caused by fire, floods, earthquakes, or other incidental events

The warranty is void if warranty seals and/or product serial numbers have been tampered with or altered in any way. Warranty does not imply on-site service or the provision of backup units.

9.7 Consumer Rights

Nothing in these Terms limits or excludes any rights you may have under applicable Philippine consumer protection laws, including the Consumer Act of the Philippines (Republic Act No. 7394).

10. Intellectual Property

All content on this Site, including but not limited to text, images, graphics, logos, icons, product descriptions, and software, is the property of ASD Pools and Ponds PH Corp or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, transmit, republish, display, or otherwise use any content from this Site without our prior written permission, except as permitted by law.

11. User Accounts

If you create an account on our Site, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably suspect are being used fraudulently.

12. Prohibited Conduct

You agree not to use the Site for any unlawful purpose or in any way that could harm us, our customers, or third parties. Prohibited conduct includes but is not limited to:

Submitting false, misleading, or fraudulent orders or information
Attempting to gain unauthorised access to our systems or data
Using automated tools or bots to scrape, copy, or interact with the Site
Engaging in any conduct that disrupts or interferes with the operation of the Site
Violating any applicable local, national, or international law or regulation

13. Limitation of Liability

To the fullest extent permitted by applicable law, ASD Pools and Ponds PH Corp shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, your purchase of products, or any breach of these Terms, even if we have been advised of the possibility of such damages.

Our total liability to you in connection with any claim arising from these Terms or your use of the Site shall not exceed the amount you paid for the relevant order giving rise to the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under applicable Philippine law.

14. Disclaimer of Warranties

The Site and its content are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

15. Third-Party Links and Services

Our Site may contain links to third-party websites or integrate third-party services, including our payment gateway provider. These links are provided for your convenience only. We do not endorse, control, or accept responsibility for the content, privacy practices, or terms of any third-party websites or services. Your use of third-party sites is at your own risk and subject to their respective terms and policies.

16. Privacy

Your use of our Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Site, you consent to the collection and use of your personal information as described in our Privacy Policy, available at www.poolandspa.ph/privacy-policy.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising out of or in connection with these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of Cebu City, Philippines.

18. Force Majeure

We shall not be liable for any failure or delay in performance of our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, power outages, internet disruptions, pandemics, or industrial disputes.

19. Amendments to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with a revised effective date. Your continued use of the Site after any changes are posted constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

20. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from the remaining provisions and shall not affect their validity or enforceability.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ASD Pools and Ponds PH Corp with respect to your use of the Site and supersede all prior agreements, representations, or understandings.
